Board of Directors Assessment

This Board of Directors Assessment measures your perceptions of your board’s functions in five key areas: governance, strategy orientation, succession planning, rapport with the CEO, and leadership. The results will help you understand your current position and identify areas that need to be addressed to maximize the board’s value of your business.

Score the following statements on a scale from 1 to 4. After completing the survey simply press the Results button to find your total score and the implications for your organization.

Rank each on a scale of 1 to 4
1=Strongly Disagree, 2=Disagree, 3=Agree, 4= Strongly Agree

Governance

1. The board carries out oversight responsibilities effectively.

2. Directors participate in regular board evaluations.

3. The board has the requisite mix of talent, skills, and expertise.

4. Committee reports are timely and informative.

5. The board successfully addresses compliance and regulations.

Strategic Orientation

6. The board has critiqued, questioned, and approved the corporate strategy.

7. Directors are knowledgeable about competitive factors and driving forces of the company.

8. The board is strategically involved in merger and acquisition discussions.

9. The board is effective in overseeing risk management.

10. Directors focus on activities that drive shareholder value.

Succession Planning

11. The board focuses on CEO and management succession and knows retirement / replacement plans for the CEO and everyone on the leadership team.

12. The tenure of each director is common knowledge.

13. Directors prepare for and attend meetings.

14. The board has an effective process for selecting, developing, and transitioning new directors.

15. Directors are financially literate.

Rapport with the CEO

16. Directors engage in annual CEO evaluations.

17. The board engages in rigorous debate when making decisions.

18. Directors invite tough questions from each other and the CEO, without defensiveness.

19. The CEO uses the board as sounding boards, advisors, and coaches.

20. Communication between directors and the CEO is candid and constructive.

Leadership

21. Outside directors demonstrate independent thinking.

22. Directors receive the agenda and related materials in enough time to prepare for meetings.

23. The time at board meetings is utilized effectively, with the emphasis on discussion, not presentations.

24. Between scheduled meetings, directors are kept informed of major changes in the organization and important issues.

25. The right leaders are in place as board chair and committee chairs.
